01 · Why now · for agency owners

This is the weather now.

Clients are moving, holding groups are shrinking, and the buyers of agencies have changed their minds about what they will pay for. The numbers below are not a forecast. They are the record, with sources and grades.

02 · Three forces

Three forces. One direction. No reversion.

Cash, model and ownership are being repriced at the same time. For an independent agency that means the bank, the client and the buyer all changed their terms inside the same two years. None of it is a cycle.

Capital

Distress is climbing, not peaking.

666,000 UK businesses were in significant distress at the last count, up 10.8% year on year, with insolvencies near thirty-year highs. Debt arranged in a cheaper decade now sits above businesses built for a different market. B

Model

The old model is being dismantled from the top, by the people who built it.

WPP's revenue fell 5.4% in 2025 and it is abandoning the holding-company model. Omnicom absorbed IPG, folding three legacy networks. Agency headcount is forecast down 15% in 2026 after an 8% cut in 2025. B

Ownership

The owners have moved. So has the money.

47% of buyout value creation now comes from operating improvement, up from 18% in the 1980s. Independents took 13% of the world's reviewed media new business in 2025 — $5bn across 49 markets. The buyers want operators, not decks. B

Headcount is falling. Work is moving in-house. Growth goes elsewhere.

05 · What it means for you

Same weather. Three different boats.

You built the agency when clients stayed and money was cheap.

Buyers now price the agency on what survives AI and in-housing, not on last year's billings. The question is not whether it gets restructured. The market has voted. It is whether that happens deliberately, on your timetable, or inside someone else's spreadsheet during a sale.

  • A dated cash position in the first fortnight — a date, not a range.
  • The ownership question named and designed, with the funding to answer it.
  • Six months, three partners, then your team runs it. The method.
